Terms of service

These are the terms on which we receive, prepare, store and forward your stock to Amazon, and how we bill for it. They apply to every account in the portal and every shipment you send us.

1. Who these terms are between

These terms are the agreement between LVT Distribution Ltd, trading as weprepforyou (“we”, “us”), and the business that opens an account in the portal (“you”). By creating an account or sending stock to us you accept them. The service is offered to businesses only, not to consumers.

2. What we do

We operate an Amazon FBA prep centre. Through the portal you tell us which products and how many units you are sending. We receive the goods, count them, photograph them, carry out the prep you select (for example FNSKU labelling, poly-bagging, bubble wrap, bundling, expiry labels), store them, and create inbound shipments to Amazon fulfilment centres under your own seller account. You can follow every step in the portal.

We act on your instructions. We do not own your stock, we do not sell it, and we are not a party to your relationship with Amazon or your customers.

3. Your account and Amazon connection

You must keep your login details private and tell us at once if you think they have been compromised. You are responsible for everyone who uses your account.

You authorise us to connect to your Amazon seller account through Amazon’s Selling Partner API with the permissions you approve. We use that access only to read your listings and inventory and to create and manage inbound shipments for you. You can revoke it at any time in the portal or in Seller Central. If you revoke it, we can no longer create Amazon shipments for your stock.

You must keep a valid payment card on file with Stripe. Until a card is saved the portal is limited to the Billing page.

4. Your responsibilities for the goods

  • Declare every shipment in the portal before it arrives, with accurate quantities and product details, and write the shipment reference on each carton.
  • Send only goods you are entitled to sell, that comply with UK law and Amazon’s policies, and that are safe to handle and store.
  • Tell us in advance about anything hazardous (dangerous goods, aerosols, lithium batteries), temperature-sensitive, oversized or of high value, and follow any handling conditions we set. We may refuse or return goods that were not declared.
  • Provide clear prep instructions. Where instructions are missing we follow Amazon’s requirements for the product category and our reasonable judgement.
  • Insure your goods while they are in transit to us and while stored with us. Our liability is limited as set out below.

5. Our responsibilities

  • Count and photograph goods on arrival and report differences from your declaration.
  • Carry out the prep you selected with reasonable skill and care and to Amazon’s published requirements.
  • Store goods in a dry, secure warehouse and take reasonable care of them.
  • Create Amazon shipments accurately and hand cartons to the carrier with the correct labels.
  • Keep your data confidential and handle it in line with our privacy policy.

Timescales we give are estimates. We are not responsible for delays caused by carriers, Amazon, incomplete declarations or missing instructions.

6. Amazon and carriers

Inbound shipments are created under your seller account, so Amazon’s inbound placement fees, partnered carrier charges, storage fees and any Amazon penalties are billed by Amazon directly to you. Where Amazon’s partnered carrier cannot be used (for example dangerous goods) we may book a courier ourselves and pass the cost on to you at cost. Once cartons are handed to a carrier, risk in the goods passes to the carrier and then to Amazon; we are not responsible for loss, damage or shortfalls arising after handover, and any claim must be made through Amazon or the carrier. We will help with the evidence we hold, such as photos and counts.

7. Prices, invoices and payment

Prices are shown in your portal price list, exclusive of VAT, and may be varied on 30 days’ notice. VAT is added at the prevailing rate. We record charges as work is done and issue one invoice per calendar month, which is charged to your saved card through Stripe on the invoice date. Materials, courier costs and extra work agreed with you are added to the same invoice.

If a payment fails we tell you and retry; while it remains unpaid we may pause new work and hold goods until the balance is settled. Interest may be charged on overdue sums at 4% above the Bank of England base rate. Disputes must be raised within 14 days of the invoice date.

8. Storage and uncollected goods

Storage of goods awaiting prep or shipment is included for a reasonable period. Goods left with us for more than 60 days without instructions may be charged storage at the rate in the price list. If your account is closed or unpaid and goods remain with us for 60 days after we have written to you, we may return them at your cost or, if that is not possible, dispose of them and apply any proceeds to what you owe.

9. Our liability

Where goods are lost or damaged while in our care through our fault, we will at our option repair or replace them, credit their landed cost to you, or refund the fees for the affected units. Our total liability to you in connection with any shipment, whether in contract, tort or otherwise, is limited to the fees we charged for that shipment. We are not liable for loss of profit, loss of sales, Amazon account suspension, stranded inventory, or any indirect or consequential loss.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Claims must be notified to us within 30 days of the event with the shipment reference and supporting evidence.

10. Data and confidentiality

We handle your personal data and Amazon seller data as described in our privacy policy, which forms part of these terms. Each of us keeps the other’s confidential information private and uses it only to perform this agreement.

11. Ending the agreement

Either of us can end this agreement on 30 days’ written notice. We may suspend or end it immediately if you break these terms in a serious way, if payment is more than 30 days overdue, or if we are required to by law or by Amazon. On ending, we finish or return any work in progress at your cost, invoice what is outstanding, delete your Amazon connection, and deal with any remaining goods under the storage section above.

12. General

These terms and the price list are the whole agreement between us and replace earlier discussions. We may update them by giving notice in the portal or by email; continued use after the effective date means you accept the change. Neither of us is liable for failure caused by events outside reasonable control. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
